1. Agreement to Terms

By accessing and using the NEXYRA LIMITED website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Use License

Permission is granted to temporarily download one copy of materials (information or software) from the NEXYRA website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or for any public display
  • Attempt to decompile or reverse engineer any software contained on the website
  • Remove any copyright or other proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website

3. Service Subscription

3.1 Plans & Pricing

We offer four subscription tiers: Basic (€15/mo), Standard (€30/mo), Premium (€50/mo), and Enterprise (€80/mo). Pricing is subject to change with 30 days' notice. Changes take effect at the beginning of the next billing cycle.

3.2 Billing & Payment

Services are billed monthly in advance. Accepted payment methods include bank transfer and cash on delivery upon service confirmation. Invoices are issued at the beginning of each billing cycle.

3.3 Refunds & Cancellation

Subscriptions are non-refundable but can be cancelled anytime. Cancellation is effective at the end of the current billing cycle. No refunds are issued for partial months.

3.4 Late Payment

If payment is not received within 15 days of invoice date, we may suspend services without further notice. A reinstatement fee of €50 may apply.

4. Services & Support

4.1 Service Levels

Service Level Agreements (SLAs) vary by plan:

  • Basic: 72-hour response time, business hours only
  • Standard: 24-hour response time, business hours only
  • Premium: 8-hour response time, 24/7
  • Enterprise: Custom SLA with dedicated support

4.2 Support Channels

Support is provided via email (contact@nexyracastalimited.com), phone (+1 660-866-5234), and our contact form. Response times are measured from ticket submission to first response.

4.3 Maintenance & Downtime

We perform scheduled maintenance monthly with 7 days' notice. Emergency maintenance may occur with less notice. We aim for 99.9% uptime but do not guarantee uninterrupted service.

5. Acceptable Use Policy

You agree not to use our services for:

  • Illegal activities or violation of laws and regulations
  • Harassment, abuse, or defamation of any person or entity
  • Transmission of malware, viruses, or harmful code
  • Unauthorized access to computer systems or data
  • Phishing, spam, or fraudulent activities
  • Infringement of intellectual property rights
  • Any activity that disrupts service or harms other users

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. Intellectual Property Rights

All content on the NEXYRA website, including text, graphics, logos, images, and software, is the exclusive property of NEXYRA LIMITED or its content suppliers and is protected by international copyright laws. Unauthorized reproduction or use is prohibited.

You retain ownership of your data. By using our services, you grant NEXYRA a limited license to use your data to provide and improve services, subject to our Privacy Policy.

7. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NEXYRA DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted or error-free service
  • Accuracy or completeness of information

Your use of the services is entirely at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXYRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FOR ANY DIRECT DAMAGES, NEXYRA'S LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold NEXYRA harmless from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the services in violation of these terms
  • Your breach of any law or third-party rights
  • Content you provide or upload
  • Your violation of our Acceptable Use Policy

10. Data Security & Backups

While NEXYRA implements industry-standard security measures, we do not guarantee absolute security. You are responsible for maintaining secure passwords and protecting access credentials.

We perform daily backups of your data. However, we recommend you maintain independent backups of critical information. NEXYRA is not liable for data loss due to your negligence or failures outside our control.

11. Third-Party Services

Our services may integrate with third-party platforms (AWS, Azure, Google Cloud, etc.). Your use of these services is governed by their respective terms and policies. NEXYRA is not responsible for third-party service outages or data loss.

12. Termination

NEXYRA may terminate or suspend your account immediately if you:

  • Violate these Terms of Service
  • Engage in illegal activity
  • Fail to pay invoices within 30 days
  • Breach the Acceptable Use Policy

Upon termination, your data will be retained for 30 days before deletion, unless otherwise required by law. No refunds are issued for early termination due to policy violation.

13. Confidentiality

NEXYRA agrees to maintain confidentiality of your data and proprietary information in accordance with our Privacy Policy and industry standards. Employees and contractors are bound by strict confidentiality agreements.

14. Modifications to Terms

NEXYRA reserves the right to modify these Terms of Service at any time. Changes are effective upon posting to the website. Continued use of services after modifications constitutes acceptance of updated terms.

15. Dispute Resolution

Governing Law: These terms are governed by the laws of Hong Kong S.A.R., without regard to conflict of law principles.

Jurisdiction: Both parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong.

Dispute Resolution: Before initiating legal proceedings, parties agree to attempt good-faith negotiation and mediation.
